Terms of Service
Last updated: August 2026 — The terms governing your use of the Zushi platform.
These terms set out the agreement between you and Zushi for use of the Zushi sourcing platform. Please read them carefully. If your organisation has signed a separate written agreement with us, that agreement takes precedence where the two conflict.
1. Acceptance of Terms
By accessing or using the Zushi platform, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these terms, you may not use the platform.
2. What Zushi Provides
Zushi is a B2B sourcing platform that connects garment brands with manufacturers. We provide software for issuing requests for quotation, comparing supplier responses, tracking orders through production and delivery, and managing related documents and communications. Zushi is a technology provider. We are not a manufacturer, and except where expressly agreed in writing we are not a party to the supply contract between you and a factory.
3. Accounts and Eligibility
You must be a business entity, and the individual registering must be at least 18 years old and authorised to act for that business. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at [email protected] if you believe your account has been compromised.
4. Acceptable Use
You agree not to misuse the platform. That includes: submitting false or misleading information in an RFQ or quote; attempting to access another user's account or data; scraping, reverse engineering, or copying the platform; using the platform to infringe intellectual property rights; uploading malicious code; or using the platform in breach of applicable law, including export controls and sanctions. We may suspend or terminate access for conduct that, in our reasonable judgement, breaches this section.
5. Orders and Transactions Between Users
Quotes, purchase orders, and supply agreements formed through the platform are contracts between the brand and the manufacturer. Zushi facilitates those transactions but does not guarantee the performance, quality, timeliness, legal compliance, or solvency of any user. Verification steps we carry out on factories are performed on a reasonable-efforts basis and are not a warranty. You remain responsible for your own due diligence, contracting, inspection, and acceptance decisions.
6. Fees
[CONFIRM] Fees, where they apply, are set out in a separate written agreement or order form between you and Zushi. Unless that agreement states otherwise, fees are exclusive of taxes, and you are responsible for any applicable GST, withholding, or other taxes. We will give reasonable advance notice of any change to fees that affects an active engagement.
7. Your Content and Data
You retain ownership of the designs, tech packs, specifications, images, and other materials you upload. You grant Zushi a limited, non-exclusive licence to host, process, and display that material solely as needed to operate the platform and provide the service to you — for example, showing your specification to a factory you have chosen to send an RFQ to. We do not sell your data. Our handling of personal data is described in our Privacy Policy.
8. Confidentiality
Information exchanged through the platform — including pricing, specifications, quotes, and order volumes — is commercially sensitive. You agree to use another user's confidential information only for the purpose of evaluating or performing a transaction with that user, and not to disclose it to third parties without consent, except where disclosure is required by law.
9. Our Intellectual Property
The platform, including its software, interface, documentation, branding, and the Zushi name and logo, is owned by Zushi and protected by intellectual property law. These terms grant you a limited, revocable, non-exclusive, non-transferable right to use the platform for your internal business purposes. No other rights are granted.
10. Service Availability
We aim to keep the platform available and performing well, but we do not guarantee uninterrupted access. We may carry out maintenance, release updates, or modify features. Where a separate service level agreement applies to your account, that agreement governs availability commitments and takes precedence over this section.
11. Third-Party Services
The platform integrates third-party services, including hosting, database, content management, logistics, payment, and communication providers. Their availability and performance are outside our control, and your use of certain features may additionally be subject to those providers' terms.
12. Disclaimers
Except as expressly stated in these terms or in a separate written agreement, the platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be error-free, or that cost benchmarks, analytics, or supplier information will be accurate or complete. Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Limitation of Liability
[CONFIRM] To the fullest extent permitted by law, Zushi will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising out of or relating to your use of the platform. Our aggregate liability arising out of or relating to these terms will not exceed the fees you paid to Zushi in the twelve months preceding the event giving rise to the claim.
14. Indemnity
You agree to indemnify and hold Zushi harmless from claims, damages, and reasonable costs arising from your breach of these terms, your misuse of the platform, your infringement of a third party's rights, or a dispute between you and another platform user.
15. Suspension and Termination
You may stop using the platform at any time. We may suspend or terminate access if you materially breach these terms, if required by law, or if continued provision poses a security or legal risk. On termination, your right to use the platform ends. Provisions that by their nature should survive — including confidentiality, intellectual property, disclaimers, liability limits, and indemnity — will survive. You may request an export of your data before termination takes effect.
16. Changes to These Terms
We may update these terms as the platform and the law evolve. Where a change is material, we will give reasonable notice — by email or through the platform — before it takes effect. Continued use after the effective date constitutes acceptance. The "last updated" date at the top of this page always reflects the current version.
17. Governing Law and Disputes
[CONFIRM] These terms are governed by the laws of India. The courts of Mumbai, Maharashtra have exclusive jurisdiction over disputes arising from these terms, subject to any arbitration agreement recorded in a separate written agreement between us. We encourage you to contact us first — most issues are resolved faster in conversation than in litigation.
